In Ukraine, we played a pivotal role in restructuring sovereign debt, ensuring financial stability amid ongoing uncertainty. In Sri Lanka, we designed and introduced innovative financial instruments to streamline negotiations and accelerate economic recovery. In The Bahamas, we structured a groundbreaking Debt-for-Nature Swap, securing long-term financial and environmental benefits.

Selected transactions

We advised ADQ on its US$2.5bn 144A - RegS dual-tranche inaugural bond issuance. This significant transaction allows ADQ to effectively access international debt capital markets, diversify its funding sources, and establish a yield curve in line with its peers in the Middle East.

We advised Paramount Global on its change-in-control agreement with Skydance Media, valuing Paramount Global at approximately US$28.1bn. This landmark transaction is the result of ongoing advice on financing, capital structure, and strategic alternatives for the company.

We provided financial advice and Redburn Atlantic acted as Joint Bookrunner on CVC’s €2.3bn IPO on the Euronext. We advised on launch timing, pricing, sizing, and allocation strategy, ensuring strong engagement with key accounts and investors. The successful listing of our long-term client demonstrates collaborative efforts across our Equity Markets Solutions teams.

We advised the Ad Hoc Group of Bondholders in connection with Sri Lanka’s US$15bn international sovereign bond restructuring. We advised on a restructuring agreement designed to comply with the debt sustainability targets set by the IMF. The implementation of the agreement is set to support and restore Sri Lanka’s public debt sustainability.

We advised Coca-Cola Consolidated on its US$3.1bn share repurchase and concurrent US$3.2bn debt raise. This is our 4th transaction with Coca-Cola Consolidated and is the result of assisting the company and its shareholders in evaluating opportunities for value creation. The transaction further highlights our unrivalled experience across the wider Coca-Cola bottling system, having advised on 18 successful mandates to date.

We advised Atos on its €4.9bn debt restructuring and €1.75bn new money raise. We managed and coordinated a complex, multi-dimensional process involving counterparties across seven facilities. We assisted in negotiating all financial aspects, overseeing company communication, and evaluating offers received from potential New Money providers.

We advised AviAlliance, GIC and CDPQ on its €4.3bn sale of Budapest Airport to the Government of Hungary and VINCI Airports. The transaction highlights Rothschild & Co’s role as trusted adviser to Budapest Airport, building on our 11 successfully completed debt financing mandates in the last 10 years.

We advised Retina Consultants of America, a portfolio company of Webster Equity Partners on its US$5.1bn sale to Cencora. This transaction strengthens Rothschild & Co’s global track record within healthcare services. It marks a significant achievement for Webster Equity Partners and reinforces our long-term relationship, advising on our third mandate in four years.
