We deliver an industry-defining approach to public and private equity capital markets. We place public and private equity for any business globally, with investors anywhere in the world, facilitated by our leading research product.
Our single structure combines Research, Sales and Trading, and Client Solutions encompassing public and private ECM and GP Solutions. Integrated public and private distribution broadens liquidity access and expands the investor base for capital raising.

In 2025, we had our third-best year by revenue, beating 2024 which previously held that position.
We continued to be the sole European bank ranked among the top 10 globally by revenue1.
We ranked second by number of announced transactions globally. In Europe, we advised on more M&A transactions than any of our competitors, a position held for more than 20 consecutive years2.
We advised on many of the largest and transformational deals globally. Our position as the leading adviser in large, complex cross-border situations is underpinned by our global scale and network of relationships with key decision-makers. We ranked first globally by number of announced and completed cross-border transactions2, representing more than 50% of our total activity.
We remain the world’s leading debt and restructuring adviser, with clients continuing to engage us on large and complex restructuring assignments. We further strengthened our position as one of the world’s leading equity advisers, recently combining our various market-facing capabilities into a single, new global structure called Global Markets Solutions (GMS).

The formation of GMS in 2025 created a dedicated Equities division in Global Advisory and marked a defining moment in our evolution as the world’s leading independent equity adviser. GMS brings together c.300 professionals – ranked no.1 by some of the largest institutional investors and family offices globally – into a single integrated platform. The solutions we now provide span the full spectrum of public and private equity markets.

We have built an ECM platform designed for rapidly evolving capital markets.
- Private equity capital raised is expected to outpace the public IPO market by 5:1 to 10:1 over the next decade.
- Our global distribution team is scaling into a 100-person platform capable of distributing private or public securities agnostically and efficiently.
- Our Research team will reserve 30% of its capacity for private company research, reflecting the increasing importance of private market insight to both issuers and investors.

Selected 2025 transactions

We advised Clearlake on its $7.7bn take-private acquisition of Dun & Bradstreet. The transaction, the result of a multi-year evaluation of Dun & Bradstreet, received unanimous Board approval. The landmark transaction builds on our longstanding relationship with Clearlake and our public company expertise across the Technology and Media industries.

We advised Spectris on its £4.8bn acquisition by KKR. We coordinated an intensive preparation phase and delivered comprehensive management presentation materials. In addition, we advised on negotiations and interactions with KKR, led the drafting of regulatory documents and announcements, and supported the full suite of tactical and Takeover Panel considerations.

We advised the Ad Hoc Group of secured creditors on Altice France’s €25bn debt restructuring, one of the largest and most complex liability management exercises in Europe. We supported the creditors in assessing restructuring options, defining a sustainable capital structure, and securing a near par recovery package. We also drafted and negotiated the financial terms, ensuring clarity, alignment and disciplined execution throughout a legally intricate, multi-step process.

We advised Airport Authority Hong Kong on its $7bn equivalent multi-currency bond issuance, supporting one of Asia's largest infrastructure financings. Leveraging Rothschild & Co’s global reach, we supported the Authority in navigating market conditions, shaping a transaction framework capable of attracting broad and high-quality demand. This issuance reinforces our track record in advising major public infrastructure entities on complex and large-scale capital raises.

We acted as a co-manager on Klarna’s $1.4bn NYSE IPO. Leveraging Rothschild & Co’s global distribution platform, we supported the execution across the full equity offering process, drawing on close collaboration between our Global Markets Solutions and FIG teams. We also provided ongoing strategic input on defining the equity narrative and supporting long-term objectives.

We advised OMV on the landmark merger of Borealis with ADNOC’s Borouge, and the simultaneous acquisition of NOVA Chemicals, creating a $60bn+ global polyolefins champion. This transformative transaction builds on more than 25 years of strategic collaboration between OMV and ADNOC. It highlights Rothschild & Co’s ability to deliver world-class advice on large-scale, complex, cross-border transactions.

We advised Sizewell C on its landmark £38bn+ equity and debt raise, one of the largest greenfield financings ever undertaken in the UK. Our role spanned the full process, from the regulatory model, to guiding the UK Government’s 50% equity investment, and leading global investor outreach. Our Debt Advisory team also supported the inaugural investment-grade rating, and structured the term loan and Bpifrance-covered facility to optimise financing terms.

We acted as bookrunner on Medline’s upsized $6.3bn Nasdaq IPO, one of the largest healthcare listings in recent years. Strong investor demand produced a multiple times oversubscribed book and enabled the upsizing. Close collaboration between our Global Markets Solutions and Healthcare teams ensured refined positioning, targeted investor education and disciplined execution, delivering a high-quality outcome for the client.
